1. Introduction

Welcome to Daeil Systems Co., Ltd. ("Company," "we," "our," "us"). We are a manufacturer of precision vibration isolation systems, optical tables, acoustic enclosures, and related industrial equipment, headquartered in the Republic of Korea.

These Terms and Conditions ("Terms") govern your access to and use of our website located at https://www.daeilsys.com and any related services, content, and materials (collectively, the "Service").

Our Privacy Policy and Warranty Policy are incorporated by reference. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by the Agreements.

2. Definitions

• "User" — any person accessing or using the Service.
• "Product" — any hardware, software, documentation, or related service supplied by Daeil Systems.

• "Order" — a confirmed purchase agreement between Daeil Systems and a Customer.

3. Eligibility

The Service is intended for use by business professionals aged 19 or older (Korean Civil Code age of majority) or 18 or older in other jurisdictions.

4. Communications

By using our Service or submitting an inquiry, you consent to receive transactional communications from Daeil Systems. Marketing communications are opt-in only. You may unsubscribe at any time via the unsubscribe link or by emailing internationalsales@daeilsys.com.

5. Intellectual Property

5.1 Ownership

The Service, Product designs, trademarks, logos, technical specifications, and all Content are the exclusive property of Daeil Systems Co., Ltd. and its licensors.

"DAEIL SYSTEMS," "DVIA," "DVIO," "DVID," "DVIM," "DAE," "DVIF," and related product names are trademarks of Daeil Systems Co., Ltd.

5.3 Limited License

We grant you a non-exclusive, non-transferable, revocable license to access the Service for lawful business and evaluation purposes.

6. Prohibited Uses

You agree not to use the Service:

1. In any way that violates applicable laws or regulations, including export control laws.
2. To transmit unsolicited advertising, spam, phishing, or malicious content.
3. To impersonate Daeil Systems, its employees, distributors, or any other person or entity.
4. To infringe intellectual property, privacy, or contractual rights of any party.
5. To interfere with, disrupt, or damage the Service or its infrastructure.
6. To reverse-engineer, decompile, or disassemble any Product or software.
7. To access Service content via automated means without prior written consent.

7. Product Information and Specifications

7.1 Accuracy

We make reasonable efforts to ensure Product specifications are accurate but reserve the right to modify specifications, features, or pricing without prior notice.

7.2 Custom Configurations

Custom-engineered systems are subject to site assessment, engineering feasibility review, and written quotation. Custom orders are non-cancelable and non-refundable once production has commenced.

7.3 Installation and Site Conditions

Performance specifications are guaranteed only when installation conditions meet the requirements specified in the applicable Installation Guide.

8. Orders, Pricing, and Payment

1. All orders are subject to acceptance by Daeil Systems and confirmed in writing.
2. Prices are quoted in USD unless otherwise specified and exclude applicable taxes, duties, and shipping.
3. Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law.
4. We reserve the right to refuse or cancel any order at our sole discretion.

9. Warranty

Our products are covered by a 5-year limited warranty as detailed in our Warranty Policy.

• Coverage: Defects in materials and workmanship under normal use
• Exclusions: Damage from misuse, unauthorized modification, or improper installation
• Remedy: Repair, replacement, or credit at our discretion

10. Export Control and International Trade Compliance

Our Products may be subject to export control laws. Customer agrees to:

1. Not export, re-export, or transfer Products to restricted countries, entities, or individuals.
2. Provide accurate end-use and end-user information upon request.
3. Comply with the Korea Strategic Items Export Control System, U.S. EAR, and other applicable trade laws.

11. Privacy and Data Protection

Our collection and processing of personal information complies with:

• Korea Personal Information Protection Act (PIPA)
• EU General Data Protection Regulation (GDPR)
• California Consumer Privacy Act (CCPA / CPRA)

12. Third-Party Links

The Service may contain links to third-party websites. Daeil Systems has no control over, and assumes no responsibility for, the content or practices of third-party sites.

Any feedback submitted becomes the sole property of the Company. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and commercialize Feedback.

You agree to indemnify, defend, and hold harmless Daeil Systems from any claims arising from your breach of these Terms, violation of laws, misuse of the Service, or content you submit.

Daeil Systems shall not be liable for failures or delays resulting from acts of God, natural disasters, war, pandemics, government actions, supply chain disruptions, or internet service failures.

18. Termination

We may suspend or terminate your access to the Service at any time without prior notice. Sections that by their nature should survive termination shall survive.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. The CISG shall not apply.

19.2 Jurisdiction

Disputes shall be subject to the exclusive jurisdiction of the Seoul Central District Court.

19.3 Arbitration (International Customers)

International disputes may be resolved through binding arbitration under the Korean Commercial Arbitration Board (KCAB) International Rules, conducted in English in Seoul, Korea.

20. Changes to the Service and Terms

We reserve the right to modify the Service or these Terms at any time. Material changes will be communicated via the Service or email.

21. Severability and Waiver

If any provision is held invalid, the remaining provisions remain in full force. Our failure to enforce any right shall not constitute a waiver.

22. Entire Agreement

These Terms, together with the Privacy Policy, Warranty Policy, and any signed Purchase Agreement, constitute the entire agreement.
